Welcome to Studio Wyle.

These Terms of Service ("Terms") govern your use of the Studio Wyle website, our online store, and any related products or services (collectively, the "Services").

Throughout these Terms, "Studio Wyle", "we", "us", and "our" refer to the owner and operator of this website.

By accessing our website, placing an order, or otherwise using our Services, you agree to be bound by these Terms together with our Privacy Policy and Refund Policy.

If you do not agree with these Terms, you should not use our Services.

Nothing in these Terms affects your statutory rights under UK consumer law.

1. Eligibility and Your Account

To place an order through our website you must:

  • be at least 18 years of age; or
  • otherwise have the legal capacity to enter into a binding contract.

You agree that all information you provide to us is accurate, complete and up to date.

If you create an account, you are responsible for keeping your login details confidential and for all activity carried out using your account. You must notify us promptly if you believe your account has been accessed without your permission.

We reserve the right to suspend or terminate accounts where we reasonably believe these Terms have been breached.

2. Our Products

We make every reasonable effort to ensure that product descriptions, photographs and other information on our website are accurate.

However:

  • colours may vary depending on your screen or device;
  • handmade products may vary slightly from photographs;
  • measurements may be approximate;
  • packaging may occasionally differ from that shown.

Such variations do not constitute defects.

We reserve the right to:

  • amend product descriptions;
  • discontinue products;
  • change specifications where necessary; and
  • limit quantities available for purchase.

These changes will not affect orders already accepted.

3. Orders

When you place an order through our website, you are making an offer to purchase the goods.

Submitting an order does not mean your order has been accepted.

Acceptance takes place only when we send you an Order Confirmation email confirming that your order has been accepted and is being processed.

We reserve the right to decline or cancel an order where, for example:

  • the product is unavailable;
  • payment cannot be authorised;
  • there has been an obvious pricing error;
  • we reasonably suspect fraudulent activity;
  • we believe the order breaches these Terms.

If payment has already been taken for an order we cannot fulfil, we will refund you in full using your original payment method.

Please check your order carefully before submitting it. Once an order has been accepted, changes or cancellations may not always be possible. This does not affect your statutory cancellation rights where they apply.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

4. Prices and Payment

All prices displayed on our website are shown in Pounds Sterling (£).

Where applicable, prices include VAT unless otherwise stated.

Delivery charges, where applicable, will be shown during checkout before you complete your purchase.

We reserve the right to change prices at any time. Price changes will not affect orders that have already been accepted.

By placing an order, you confirm that:

  • your payment details are accurate;
  • you are authorised to use the payment method provided;
  • sufficient funds are available to complete the transaction.

If payment cannot be authorised, we will not accept your order.

We use secure third-party payment providers. We do not store your full payment card details.

5. Delivery

Delivery times shown on our website are estimates only.

While we aim to dispatch orders promptly, delays may occur due to circumstances beyond our reasonable control, including courier delays, adverse weather, customs processing or industrial action.

We are not responsible for delays caused by third-party delivery providers once your order has been dispatched.

Risk in the goods passes to you only when the goods are delivered to you or to a person identified by you to take possession of them.

Ownership of the goods remains with Studio Wyle until payment has been received in full.

If we are unable to deliver your order because the delivery information you provided is incorrect or incomplete, we may charge reasonable additional delivery costs if a further delivery attempt is requested.

Your statutory rights relating to delivery remain unaffected.

6. Intellectual Property

Unless otherwise stated, all content available through our Services, including but not limited to text, photographs, images, graphics, logos, branding, product descriptions, artwork, designs, videos, audio, website layout, software and other materials ("Content"), is owned by or licensed to Studio Wyle and is protected by copyright, trade mark and other intellectual property laws.

You may access and use our Services solely for your own personal, non-commercial use.

You must not, without our prior written permission:

  • copy, reproduce or republish any Content;
  • modify, adapt or create derivative works from any Content;
  • distribute, sell or commercially exploit any Content;

Nothing in these Terms grants you ownership of or rights to any intellectual property belonging to Studio Wyle or our licensors except as expressly stated.

Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Our Services may include links to websites, applications or services operated by third parties, including payment providers, social media platforms and other service providers.

These third-party services are provided for your convenience only.

We do not control, endorse or accept responsibility for the content, privacy practices or availability of third-party websites or services.

To the extent permitted by law, we shall not be liable for any loss or damage arising from your use of third-party websites or services.

8. Shopify Platform

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to sell our products.

Although Shopify provides the technology used to operate our online store, all purchases made through the website are contracts between you and Studio Wyle.

Shopify is not responsible for the products we sell, our customer service, or the fulfilment of orders.

9. Privacy

We collect and process personal information in accordance with our Privacy Policy and applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

  • it is accurate to the best of your knowledge;

You retain ownership of your User Content.

However, by submitting User Content to Studio Wyle, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, adapt and display that content for the purpose of operating, promoting and improving our business and Services.

This licence may be withdrawn by contacting us, although we may retain copies where reasonably necessary for legal or administrative purposes.

We reserve the right, but are not obliged, to remove User Content that we reasonably believe breaches these Terms or applicable law.

We are not responsible for opinions expressed by customers in reviews or other User Content.

11. Errors and Availability

Despite our best efforts, information on our website may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, availability or delivery information.

We reserve the right to correct such errors at any time.

If we discover an obvious pricing error after you have placed an order but before it has been accepted, we may contact you to confirm whether you wish to proceed at the correct price or cancel your order.

If we cannot contact you, we may cancel the order and refund any payment received.

Nothing in this section affects your statutory rights.

You agree to use our Services lawfully and responsibly.

  • your actions may harm Studio Wyle, our customers or our systems; or
  • we are required to do so by law.

Any provisions of these Terms which by their nature are intended to continue after termination shall remain in effect, including those relating to intellectual property, liability, governing law and dispute resolution.

15. Consumer Rights

Nothing in these Terms excludes, restricts or limits any rights you have under applicable consumer protection legislation, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

If any provision of these Terms conflicts with your statutory rights, your statutory rights will prevail.

If goods supplied by us are faulty, not as described, not fit for purpose or otherwise fail to meet the standards required by law, you may be entitled to repair, replacement, a price reduction or a refund in accordance with your legal rights.

We aim to ensure that our Services are available at all times. However, we do not guarantee that the website, or any part of it, will always be available, uninterrupted, secure or free from errors.

  • we shall not be responsible for delays or failures caused by events outside our reasonable control.

Where you purchase products from us as a consumer, our liability shall be limited only to the extent permitted under applicable law.

Nothing in these Terms affects your legal rights as a consumer.

18. Your Responsibility to Us

You agree that you will not misuse our Services or knowingly engage in activities that cause unlawful loss or damage to Studio Wyle or to other users.

If your unlawful or fraudulent actions result in claims being brought against us, you agree to reimburse us for any reasonably foreseeable losses, costs or expenses arising directly from those actions, to the extent permitted by law.

This clause does not apply to accidental or minor breaches and does not affect any statutory rights you may have as a consumer.

19. Events Outside Our Reasonable Control

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.

These may include, but are not limited to:

  • severe weather;
  • fire or flood;
  • acts of terrorism;
  • war or civil unrest;
  • industrial disputes;
  • pandemics or public health emergencies;
  • interruptions to transport or utility services;
  • shortages of materials;
  • supplier failures;
  • government action or legal restrictions;
  • failures of telecommunications or internet services.

Where such circumstances continue for an extended period, we may cancel affected orders and refund any payments received for goods that have not been supplied.

20. Severability

If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed from the remaining Terms.

The remaining provisions shall continue in full force and effect.

Where possible, any invalid provision shall be interpreted in a manner that most closely reflects its original commercial purpose while remaining legally enforceable.

21. No Waiver

If we delay or fail to exercise any right under these Terms, this shall not prevent us from exercising that right at a later date.

Any waiver of a breach of these Terms shall not constitute a waiver of any subsequent breach.

These Terms, together with our Privacy Policy, Refund Policy and any other policies expressly referred to within them, constitute the entire agreement between you and Studio Wyle regarding your use of our Services and your purchase of products from us.

You acknowledge that you have not relied upon any statement or representation that is not expressly set out in these documents, except where such reliance cannot lawfully be excluded.

23. Assignment

You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations under these Terms where this does not adversely affect your rights. If Studio Wyle is sold, merged with another business, or undergoes a change of ownership, your contract with us may be transferred to the new owner, who will continue to honour these Terms.

24. Governing Law and Jurisdiction

These Terms and any contract between you and Studio Wyle shall be governed by the laws of England and Wales.

If you are a consumer resident in Scotland or Northern Ireland, you will continue to benefit from any mandatory provisions of the law of your country of residence, and you may bring legal proceedings in your local courts.

If you are a consumer resident in England or Wales, any disputes arising from these Terms or your use of our Services may be brought before the courts of England and Wales.

Nothing in this section limits your statutory rights as a consumer.

25. Alternative Dispute Resolution

We are committed to resolving any concerns fairly and promptly.

If you have a complaint, please contact us first using the details provided below so that we have the opportunity to resolve the matter.

If we are unable to resolve your complaint, you may be entitled to refer the dispute to an approved Alternative Dispute Resolution (ADR) provider where applicable.

We are not obliged to participate in an alternative dispute resolution scheme and do not currently do so. However, we will always try to resolve any complaints directly with you.

Nothing in this section affects your right to bring legal proceedings through the courts where permitted by law.

We may update these Terms from time to time to reflect:

  • changes in the law or regulatory requirements;
  • improvements to our Services;
  • changes to our business practices; or
  • other legitimate business reasons.

The latest version of these Terms will always be available on our website.

Any changes will apply only to future use of our Services and future orders unless the law requires otherwise.

Where we make significant changes that affect your rights, we will take reasonable steps to bring those changes to your attention.

Changes will not affect orders that have already been accepted.
